Agreement Terms for the Danish Life Science Cluster Association

Introduction

Danish Life Science Cluster is Denmark’s national cluster for life science and health technology. It is appointed by the Danish Board of Business Development as part of the Danish business promotion system. The objective of Danish Life Science Cluster is to facilitate innovation projects and promote networking among companies, knowledge environments, and organizations within life science and health technology, transforming Danish research and knowledge into new and better commercial solutions and products for the benefit of companies, the healthcare system, municipalities, and citizens across Denmark.

Membership

A membership of Danish Life Science Cluster includes access to events, matchmaking, knowledge sharing, communication, collaboration and innovation projects, and networking with various companies, knowledge institutions, municipalities (care providers) and regions (hospitals and health providers), interest organizations, and public authorities within life science and health technology.

Members can influence activities and participate in the annual general meeting with the right to vote and speak.

Membership requires payment of a fee upon joining. The membership is valid for one calendar year at a time and is automatically renewed at the end of the year unless otherwise specified, see
Resignation.

Fee

Membership involves paying an annual fee. For companies, the fee depends on the number of employees, while for all other organizations, it depends on the type and size of the organization. The fee is set by the board and applies for one calendar year.

Resignation

Resignation must be made in writing (by email) to the secretariat no later than three months before the start of a new calendar year (i.e., by September 30th to be effective from the following calendar year).

Paid membership fees will not be refunded upon resignation.

Members who do not pay their fees on time may be excluded from the association.

Communication and Contact Persons

Danish Life Science Cluster uses electronic communication in all matters with its members. Upon joining, members appoint a primary contact person (including name, title, and email address) who will serve as the main point of contact for communications regarding the membership. The primary contact person holds the voting rights at the General Meeting.

Members have the option to designate an additional secondary contact person (including name, title, and email address) who will receive the same information but without voting rights at the general meeting. Additionally, members may appoint a financial contact (including name and email address) to whom the membership invoice will be directly sent.

Members are responsible for informing the secretariat of any changes in their contact information.

Both primary and secondary contact persons will be automatically subscribed to Danish Life Science Cluster’s membership newsletter, which provides updates on upcoming events and membership opportunities. The newsletter can be unsubscribed at the bottom of the news email.

Each member is designated a membership consultant within Danish Life Science Cluster, who will be the primary contact for the member. Members are always welcome to contact other employees at Danish Life Science Cluster as needed.

General Meeting

The general meeting is the highest authority of the association and takes place annually before the end of April. Invitations are sent out in writing at least four weeks in advance to the primary contact person and, if applicable, secondary contact person. The agenda for the general meeting is issued at least two weeks prior, including items to be discussed at the general meeting.

All members who are not in arrears with their membership fees at the time of the general meeting have the right to attend and vote at the meeting. Each member has one vote, which is assigned to the person designated as the primary contact person, see Communication and Contact Persons. Voting by proxy is allowed.

Members may submit proposals for the agenda. Proposals must be submitted in writing to the secretariat no later than three weeks before the general meeting.

Board

The association is governed by a board elected at the annual general meeting. The board is appointed in various membership groups, as described in the association’s bylaws, section 5.2 Composition of the Board. Each group elects its board members by a simple majority unless the group has agreed otherwise internally and may conduct an election meeting before the annual general meeting. Members are informed directly or through the official invitation to the general meeting about the upcoming elections.

Loyalty

Members must always act loyally towards the association and adhere to its objectives, see Introduction. Members must not damage the association or its reputation.

Confidentiality

All information shared related to the membership must be kept confidential and must not be disclosed to third parties without prior written consent, unless required by law. This includes, but is not limited to, trade secrets, internal discussions, membership lists, financial information, and other internal and strategic information shared among members or by the association.

The confidentiality obligation applies both during and after the termination of membership.

Processing of Personal Data

Danish Life Science Cluster processes all personal data in compliance with applicable data protection laws. This includes the deletion of personal data unless there is a legal basis for its retention. Sensitive personal information will not be shared without third parties without consent.

Changes

Changes to the membership terms will be communicated to members in writing at least three months before taking effect.
